This is a commercial license. It is not an open-source license. By cloning, downloading or using the Software you accept this License. If you do not accept it, do not use the Software, and ask for a refund under the Refund Policy.

1. Definitions

• "Licensor", "we", "us": Individual Entrepreneur RomarioDeveloper, the Republic of Kazakhstan.
• "Software": the source code, roles, prompts, recipes, schemas, scaffolds, configuration and documentation in this repository, in every version you receive access to, including any part of it that you modify.
• "You", "Licensee": the person or the company that bought a founding license. If you bought for a company, "you" means that company.
• "Plan": the plan you bought: Solo or Team.
• "Authorized Developer": a named individual who may use the Software under your Plan.
• "Client Project": a website, application or other project that you build for yourself or for a client.
• "Output": the code, content, designs and other files that you or the Software create for a Client Project, including scaffold files that the Software copies into that project during a run.

2. License grant

Once your payment is complete, and as long as you comply with this License, we grant you a non-exclusive, non-transferable, perpetual, worldwide license to:

1. use the Software to plan, build, test, deliver and maintain any number of Client Projects, for yourself or for paying clients;
2. modify the Software, including roles, prompts, recipes, gates and configuration, and use those modified versions under the same terms;
3. install the Software on any number of machines that the Authorized Developers use;
4. keep using every version you received, even after your update period ends.

3. Seats

• Solo: one (1) Authorized Developer.
• Team: up to five (5) Authorized Developers who work for the same company or agency as you, as employees or as contractors working on your projects.

Access to the private repository is personal. Each Authorized Developer uses their own GitHub account. You may reassign a Team seat when someone leaves. To do so, tell us which account to remove and which account to add.

4. Restrictions

You may not:

1. publish, share or redistribute the source code of the Software, in original or modified form, whether in public repositories, packages, gists, archives, courses, templates or kits, or by any other means;
2. sell, resell, rent, sublicense or otherwise transfer the Software or this License to anyone else;
3. give repository access, copies of the Software or your license to people who are not Authorized Developers under your Plan;
4. use the Software, or any substantial part of it (including its roles, prompts or recipes), to build or offer a product or service that competes with Artelo, such as an agent orchestration toolkit, a recipe or prompt marketplace, or a hosted version of the Software for third parties;
5. remove or change copyright notices or this License in copies of the Software that you keep.

Small excerpts that you share to report a bug or to ask a question in the project's private discussions are fine.

5. Your Output belongs to you

We claim no rights in your Output. Client Projects that you create with the Software belong to you or to your client, as you agree between yourselves. You may deliver, license and sell them freely, including scaffold files that the Software placed in them.

What you may not do is hand the Software itself to a client or a third party as part of a delivery, for example by committing the Artelo harness into a client's repository so that the client can run it. If a client wants to run Artelo, they need their own license.

6. Third-party software and services

• The Software orchestrates third-party coding agents and services (for example Claude Code, Codex, Gemini CLI, Vercel). Their use is governed by their own terms. You are responsible for those terms and for any costs those services charge, including token usage that Artelo runs trigger.
• Open-source dependencies installed with the Software are covered by their own licenses, not by this License.

7. Updates

Your purchase includes updates for 12 months from the day you first received repository access. Updates are covered by this License (or by a later version of it that does not reduce your rights). After the update period ends, the versions you already received keep working under this License.

8. Pre-alpha status and no warranty

The Software is pre-alpha. Features may be incomplete, change or be removed. The README describes what works today.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Code produced by AI agents can be wrong, insecure, or can infringe the rights of others. You are responsible for reviewing, testing and approving anything that you ship to clients or to production.

Nothing in this License limits rights that you have as a consumer and that cannot be limited under the law of your country of residence.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SOFTWARE OR THIS LICENSE IS LIMITED TO THE AMOUNT YOU PAID FOR YOUR LICENSE. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, THIRD-PARTY AI OR HOSTING COSTS, OR CLAIMS BY YOUR CLIENTS. These limits do not apply to liability that cannot be limited by law.

10. Termination

1. Refund. If you receive a refund, this License ends and your repository access is removed. Please delete the copies of the Software that you made. Your Output stays yours.
2. Breach. If you seriously breach Section 4 and do not fix the breach within 14 days after we email you, we may end this License and remove access. If the breach is deliberate redistribution of the source code, we may end this License immediately.
3. Discontinuation. If we stop developing Artelo, you keep this License for the versions you received.

Sections 4, 5, 8, 9 and 11 survive termination.

11. General

• This License is governed by the laws of the Republic of Kazakhstan. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence.
• This License is part of the Artelo Terms of Service. For use of the Software, this License governs if the two conflict.
• If a court finds part of this License unenforceable, the rest stays in effect.
• We keep all rights that this License does not expressly grant to you.
